1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Hevea Investment ("HEVEA Pulse," "we," "us," or "our"), a company incorporated under the laws of Hong Kong, with registered offices at Unit G, 15/F, TAL Building, 49 Austin Road, Kowloon, Hong Kong.

By accessing or using the HEVEA Pulse platform available at heveapulse.com (the "Service"), you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Service Description

HEVEA Pulse is an AI-powered content automation tool designed to help entrepreneurs and creators transform raw weekly video footage into a published, narrative-driven Instagram presence. The Service includes:

• Automated narrative arc detection and story sequencing
• AI-assisted video editing and clip selection
• Multi-format export (Reels, Stories, grid posts)
• Direct publishing to Instagram via Meta API
• B-roll library organisation and tagging
• Performance analytics and feedback loop
• DM and comment triage and prioritisation

The Service is provided on a subscription basis. Features available to you depend on your subscription plan.

3. Subscriptions, Billing and Cancellation

3.1 Subscription Plans

HEVEA Pulse offers monthly and annual subscription plans. Pricing is displayed in USD on the pricing page and may be updated from time to time. Your subscription plan determines the features and usage limits available to you.

3.2 Free Trial

New accounts may be eligible for a 14-day free trial. No credit card is required during the trial. At the end of the trial period, you must subscribe to continue using the Service. Trial eligibility is limited to one trial per person and per organisation.

3.3 Billing

Subscriptions are billed in advance on a monthly or annual cycle, depending on the plan selected. Payment is processed via Stripe. By providing payment details, you authorise us to charge the applicable subscription fee on each renewal date. All fees are non-refundable except as expressly stated in these Terms.

3.4 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing cycle. You will retain access to the Service until that date. We do not offer pro-rated refunds for partial billing periods, except as required by applicable law.

3.5 Price Changes

We reserve the right to modify subscription pricing. We will provide at least 30 days' written notice before any price change takes effect for existing subscribers.

4. User Content Rights

4.1 Your Ownership

You retain full ownership of all footage, video files, images, captions, and other content you upload to the Service ("User Content"). These Terms do not transfer any intellectual property rights from you to HEVEA Pulse.

4.2 Processing Licence

By uploading User Content, you grant HEVEA Pulse a limited, non-exclusive, royalty-free, worldwide licence to access, store, process, and use your User Content solely for the purpose of providing and improving the Service to you. This licence terminates when you delete the content or close your account, subject to reasonable processing and backup cycles.

4.3 Your Representations

By uploading User Content you represent and warrant that: (a) you own or have the necessary rights to upload and use the content; (b) the content does not infringe any third-party intellectual property, privacy, or publicity rights; and (c) the content complies with our Acceptable Use Policy (Section 5).

5. Acceptable Use Policy

You agree not to use the Service to upload, process, distribute, or publish content that:

• Is unlawful, harmful, threatening, abusive, harassing, defamatory, or fraudulent
• Contains child sexual abuse material (CSAM) or exploits minors in any way
• Promotes hate speech, discrimination, or violence based on race, ethnicity, gender, religion, disability, or sexual orientation
• Infringes any patent, trademark, trade secret, copyright, or other intellectual property right
• Violates any applicable law or regulation, including data protection and privacy laws
• Contains malware, viruses, or any harmful code
• Impersonates any person or entity or misrepresents your affiliation with a person or entity

We reserve the right to suspend or terminate accounts that violate this policy without prior notice.

6. No Guarantee of Instagram Engagement or Growth

HEVEA Pulse is a content automation and publishing tool. We do not guarantee any specific level of Instagram engagement, follower growth, reach, or revenue. Results depend on many factors outside our control, including but not limited to Instagram's algorithm, the quality and originality of your content, your existing audience, posting frequency, and market conditions.

Any case studies, testimonials, or examples shown on our website represent individual results and are not typical. Past performance of other users does not predict your future results.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its software, algorithms, interfaces, design, text, graphics, and documentation, is owned by Hevea Investment and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose during your subscription period.

7.2 Feedback

If you provide us with feedback, suggestions, or ideas about the Service ("Feedback"), you grant us an irrevocable, royalty-free licence to use, incorporate, and commercialise that Feedback without restriction or compensation to you.

7.3 Restrictions

You may not copy, modify, distribute, sell, reverse-engineer, decompile, or create derivative works from any part of the Service without our prior written consent.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Hevea Investment and its officers, directors, employees, and agents shall not be liable for:

• —Any indirect, incidental, special, consequential, or punitive damages
• —Loss of profits, revenue, data, goodwill, or business opportunities
• —Damages arising from your inability to access or use the Service
• —Damages arising from unauthorised access to or alteration of your transmissions or data
• —Damages arising from content posted or transmitted through the Service by third parties

Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid to us in the three months preceding the claim, or (b) USD 100.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. If you are in such a jurisdiction, some of these limitations may not apply to you.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability. We do not warrant that the Service will be error-free or that any defects will be corrected.

10. Indemnification

You agree to indemnify and hold harmless Hevea Investment and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination: (a) your licence to use the Service ceases immediately; (b) we may delete your User Content after 90 days, unless required by law to retain it; and (c) provisions that by their nature should survive termination will survive.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Hong Kong.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the Service at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
